Fengcen Terms of Service

1. Agreement, Contracting Entity, and Scope

These Terms of Service ("Terms") are a legally binding agreement between you and Fengcen LLC, a Wyoming limited liability company ("Fengcen," "we," "us," or "our"). They govern your access to and use of websites, software applications, online services, integrated AI features, cloud features, accounts, billing features, customer support, and other products or services offered under the Fengcen brand (collectively, the "Services"). Sliprail is one of the Services.

By creating an account, accessing or using the Services, or clicking a button that indicates acceptance, you agree to these Terms. Our Privacy Policy explains how we process personal information and is incorporated into these Terms where permitted by law. If you do not agree, do not use the Services.

Some Services have product-specific terms, purchase terms, plan descriptions, acceptable-use rules, or policies. Those additional terms are part of this agreement when you use the applicable Service. If they conflict with these Terms, the more specific terms control for that Service or transaction, subject to applicable law.

2. Eligibility, Authority, and Accounts

You must be at least 13 years old to use the Services. If you have not reached the age of legal majority where you live, you may use the Services only with permission from a parent or legal guardian who agrees to these Terms on your behalf. The Services are not directed to children under 13.

If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You agree to:

  • Provide accurate, current, and complete account information
  • Keep your credentials confidential and use reasonable measures to protect your account
  • Promptly update information that changes
  • Promptly notify us of suspected unauthorized access or security incidents
  • Accept responsibility for activity caused by your actions or failure to protect your credentials

You may not transfer, sell, or share an account in a way that compromises security or bypasses plan limits.

3. Plans, Purchases, Subscriptions, Trials, and Credits

3.1 Prices and Payment

Prices, included features, usage limits, device limits, taxes, fees, billing intervals, and other purchase terms are shown before you complete a transaction. You authorize us and our payment processors to charge the payment method you provide for the amounts disclosed at checkout.

Payments may be processed by providers such as Stripe. We generally do not receive your complete payment-card number. Your use of a payment provider may also be subject to that provider's terms and privacy policy.

3.2 Automatically Renewing Subscriptions

Unless the purchase screen expressly states otherwise, a paid subscription automatically renews for successive periods equal to the displayed billing interval until you cancel it. At each renewal, you authorize the then-current subscription price and applicable taxes to be charged to your payment method.

You may cancel through the account, subscription, or payment-management flow made available for the Service. To avoid the next renewal charge, cancel before the renewal is processed. Unless applicable law or the Refund Policy requires otherwise, cancellation takes effect at the end of the current paid period, access continues until then, and unused time is not refunded or credited.

If we change a recurring price, we will provide advance notice where required by law. The new price applies no earlier than the next renewal identified in the notice. If you do not agree, you must cancel before that renewal.

3.3 Trials and Promotions

Trial length, eligibility, included features, credit grants, payment requirements, and conversion terms are disclosed when a trial or promotion is offered. If a trial is described as converting to a paid subscription, it will automatically convert at the disclosed price unless you cancel before the trial ends. Trials provided without a payment method, gifted access, and administrator-granted access do not include plan credits unless expressly stated.

We may limit or revoke trials and promotions where reasonably necessary to prevent abuse, subject to applicable law.

3.4 Credits

The Services may offer purchased credits and credits included with a subscription. Credits:

  • May be used only for eligible Services and are not legal tender, a bank deposit, electronic money, or a cash account
  • Are non-transferable and cannot be sold, exchanged, or withdrawn for cash unless applicable law requires otherwise
  • May have different usage and validity rules depending on whether they were purchased or included with a plan
  • Are deducted according to the usage and fee information shown in the Service

Purchased credits do not expire at this time. We may introduce or change validity rules prospectively after reasonable advance notice, including a rule for credits unused for more than one year. Any change will be subject to applicable law and will provide a reasonable opportunity to use affected credits.

Plan credits are separate from purchased credits. They may be available only while the relevant subscription is active, may have a stated validity period, and may expire when that subscription ends or at the end of the disclosed validity period.

Refunds are governed by the Refund Policy and mandatory law. Used credits are not reversible except where required by law or where we confirm a billing or service error. Plan credits have no cash value and are not refundable or withdrawable.

3.5 Third-Party Sales Channels

Purchases made through an app store, reseller, marketplace, or other third-party seller are also governed by that seller's billing, cancellation, and refund rules. Where the third party is the seller of record, you must request billing changes or refunds from that third party.

4. Acceptable Use

You agree not to:

  • Use the Services for illegal, fraudulent, infringing, abusive, defamatory, harassing, deceptive, or harmful purposes
  • Upload, submit, or distribute malware, harmful code, spam, or content designed to disrupt systems
  • Attempt unauthorized access to the Services, accounts, systems, or networks
  • Interfere with the integrity, availability, performance, or security of the Services
  • Circumvent access restrictions, device limits, usage limits, billing controls, trial controls, or technical protection measures
  • Violate intellectual property, privacy, publicity, confidentiality, contractual, or other rights
  • Use AI features or connected tools in violation of law, these Terms, or relevant provider policies
  • Scrape, harvest, or collect data from the Services except through an authorized feature or as permitted by law
  • Resell, sublicense, or provide unauthorized commercial access to the Services
  • Use the Services in violation of applicable export-control, sanctions, or trade laws

We may investigate suspected violations and take proportionate action, including limiting or suspending access.

5. User Content, Shared Content, and AI Features

You retain your rights in files, prompts, screenshots, images, messages, links, settings, and other materials that you upload, submit, generate, sync, or share through the Services ("User Content"). You represent that you have the rights and permissions needed to provide and use User Content and that doing so does not violate law or another person's rights.

You grant Fengcen and the service providers acting for us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and otherwise process User Content only as reasonably necessary to:

  • Provide features you request
  • Operate, secure, maintain, troubleshoot, and back up the Services
  • Complete sharing, syncing, integrations, or connected-tool actions you initiate
  • Investigate abuse, enforce these Terms, and comply with legal obligations

We use feedback and aggregated, de-identified, or statistical information to improve the Services. We do not use the specific inputs you submit to AI features, or the specific outputs generated from those inputs, to train Fengcen's own AI models unless we separately ask for and obtain permission.

If you create a public or shared link, publish content, collaborate, or connect a third-party tool, the content you choose to share may be accessible to recipients, the public, or the relevant provider. You are responsible for reviewing sharing settings and removing confidential or sensitive information you do not intend to disclose.

AI outputs may be inaccurate, incomplete, delayed, biased, offensive, or similar to outputs provided to others. You must review outputs before relying on or using them. AI outputs are not legal, financial, medical, or other professional advice. Rights in AI outputs may depend on applicable law and third-party provider terms.

6. Ownership, Software License, and Open-Source Components

Except for User Content, the Services and their software, design, documentation, trademarks, and other materials are owned by Fengcen or our licensors and are protected by applicable laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal use or legitimate internal business purposes.

Except where applicable law or an applicable open-source license permits it, you may not:

  • Copy, distribute, sell, lease, sublicense, or commercially exploit the Services
  • Modify, adapt, decompile, reverse engineer, or create derivative works from the Services
  • Remove or alter copyright, trademark, attribution, or proprietary notices
  • Use non-public aspects of the Services to build a competing product or service

Some components may be distributed under open-source or other third-party licenses. Those licenses govern the applicable components and control over conflicting provisions of these Terms. Nothing in these Terms restricts rights granted under such licenses or rights that cannot lawfully be restricted.

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation, but you are not required to provide feedback.

7. Third-Party Services, Integrations, and Extensions

The Services may rely on or interoperate with third-party services, including AI model providers, payment processors, hosting providers, identity providers, search providers, connected tools, extensions, and plugins.

We do not control third-party offerings and are not responsible for their availability, content, security, terms, or data practices. Your use of a third-party offering is governed by its own terms and is at your own risk. This section does not limit responsibility that cannot be excluded under applicable law.

8. Privacy

Our collection, use, storage, disclosure, and protection of personal information are described in the Fengcen Privacy Policy and any applicable product-specific privacy notice.

9. Service Changes, Availability, and Beta Features

We may add, change, limit, or discontinue features for legitimate business, technical, security, or legal reasons. Where a change materially reduces a paid Service, we will provide notice or a remedy where required by law or the Refund Policy.

Beta, preview, experimental, or free features may be changed or withdrawn at any time and may be less reliable than generally available features.

10. Suspension and Termination

You may stop using the Services at any time. You remain responsible for charges incurred before cancellation or termination.

We may suspend, restrict, or terminate access if we reasonably believe that:

  • You violated these Terms or applicable law
  • Your use creates a security, legal, operational, payment, or abuse risk
  • We are required to act by law, court order, or a provider relationship
  • The relevant Service is discontinued or can no longer be provided

Where practical and lawful, we will provide notice and an opportunity to address the issue. We may act immediately where necessary to protect users, the Services, or third parties.

Upon termination, your license ends. Provisions that by their nature should survive will survive, including payment obligations, ownership, disclaimers, liability limits, dispute provisions, and other continuing obligations.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE." We do not warrant that the Services will be uninterrupted, secure, error-free, accurate, complete, or suitable for every purpose. You are responsible for maintaining appropriate backups and for evaluating AI outputs and third-party content.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by law, Fengcen and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from or related to the Services.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

  • The amount you paid us for the Service giving rise to the claim during the 12 months before the event giving rise to liability
  • USD 100

These limits do not apply to liability that cannot be limited, including liability arising from fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or other liability that applicable law prohibits us from limiting.

13. Changes to These Terms

We may update these Terms to reflect changes in the Services, law, security requirements, or business practices. The updated Terms will state a new effective date. We will provide reasonable advance notice of material changes where required, using email, an in-Service notice, or another appropriate method.

Changes do not apply retroactively to a dispute that arose before the updated Terms became effective. If you do not agree to an update, you must stop using the affected Services and cancel recurring subscriptions before the next renewal. Continued use after the effective date constitutes acceptance where permitted by law.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles.

Before filing a claim, you and Fengcen agree to attempt in good faith to resolve the dispute by contacting the other party and describing the issue and requested resolution. If the dispute is not resolved, and unless mandatory law requires another forum, claims must be brought in the state courts located in Laramie County, Wyoming, or the United States District Court for the District of Wyoming, and each party consents to those courts' jurisdiction.

If you are a consumer, this section does not deprive you of mandatory protections or the right to bring a claim in another forum provided by the law of your place of residence.

15. General Terms

These Terms, the Privacy Policy, applicable product-specific terms, and purchase terms form the entire agreement between you and Fengcen regarding the Services. If any provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain effective.

A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization, or transfer of the relevant business, subject to applicable law. There are no third-party beneficiaries except as expressly stated.
